Objectives :

To ensure that the students have grasped various concepts and functions of Company Secretaries.

UNIT I: Company Secretary: Definition of Secretary, Importance, The Companies (Appointment and qualifications of Secretary) Rules, 1988; Appointment and Dismissal Powers, Duties and liablities Statutory and contractual role of company secretary. Secretary as Coordinator and as Chief Administrative Officer.

UNIT II: Company Secretary in Practice: Certification by Company Secretary; Professional duties and code of conduct Provisions of the Company Secretaries Act.

UNIT III: Company Top Management: Definition, types of Directors their qualifications and disqualifications, number of directors, manner of appointment and reappointment; vacation of office retirement resignation, removal; Powers, duties and Liabilities of Directors; Loans to Directors etc., managerial remuneration compensation for loss of office.
